I. Standard Business Terms
§ 1 Basic Provisions
(1) The following business terms apply to all contracts concluded between you and us (nōuxx GmbH) via the website nouxx.com. Unless otherwise agreed, the inclusion of your own terms and conditions is ruled out.
(2) A “consumer” within the meaning of the following provisions is any natural person who concludes a legal transaction for purposes that are predominantly not attributable to their commercial or self-employed professional activity. A “business customer” is any natural person, legal entity, or partnership with legal capacity that acts in the exercise of their commercial or self-employed professional activity when concluding a legal transaction.
§ 2 Conclusion of the Contract
(1) The subject matter of the contract is the sale of products.
(2) By placing a product on our website, we submit a binding offer to conclude a contract under the conditions set out in the product description.
(3) The contract is concluded via the online shopping cart system as follows:
The products intended for purchase are placed in the “shopping cart.” You can access the shopping cart using the corresponding button in the navigation bar and make changes there at any time.
After clicking the “Checkout” or “Proceed to order” button (or similar designation) and entering your personal data as well as payment and shipping details, the order data will be displayed as an order overview.
If you use an instant payment system (e.g. PayPal, Apple Pay, Google Pay) as your payment method, you will either be taken to the order overview page in our online shop or forwarded to the website of the instant payment provider. If forwarded, select and/or enter your data as appropriate. The order data will then be displayed as an order overview either on the provider’s website or after you are redirected back to our online shop.
Before submitting the order, you have the option to review all information on the order summary page, change it (including via the “Back” button in your web browser), or cancel the purchase.
By submitting the order via the corresponding button (“order with obligation to pay,” “buy,” “buy now,” “pay,” “pay now,” or similar designation), you declare the legally binding acceptance of the offer, thereby concluding the contract.
(4) The processing of the order and transmission of all information required in connection with the conclusion of the contract take place via email in a partially automated manner. You must therefore ensure that the email address you have provided is correct, that the receipt of emails is technically ensured, and in particular that emails are not blocked by a SPAM filter.
§ 3 Contract Duration / Cancellation of Subscription Contracts
(1) The subscription contract concluded between you and us has the term specified in the respective offer, referred to below as the “basic term.”
The following basic terms are available:
– 3-month basic term (minimum commitment of 3 months)
– 12-month basic term (minimum commitment of 12 months)
(2) Ordinary cancellation during the basic term is excluded. The right to extraordinary termination for good cause remains unaffected.
(3) If the subscription contract is not terminated by either party with one (1) month’s notice before the end of the basic term, it is automatically extended for an indefinite period on a month-to-month basis. The extended contract may be terminated at any time with one (1) month’s notice.
(4) Any notice of termination must be declared and transmitted either in text form (e.g. email) or via the cancellation button on our website (“Cancel contracts here” or similar designation).
§ 4 Special Agreements Regarding Payment Methods
(1) Payment via “PayPal” / “PayPal Checkout”
If you select a payment method offered via “PayPal” / “PayPal Checkout,” the payment will be processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A. (22-24 Boulevard Royal L-2449, Luxembourg; “PayPal”).
The individual payment methods via PayPal are displayed under a correspondingly designated button on our website and in the online ordering process. PayPal may use other payment services for processing; if special payment conditions apply, you will be informed separately.

§ 5 Right of Retention, Reservation of Title
(1) You may only exercise a right of retention if the claims arise from the same contractual relationship.
(2) The goods remain our property until the purchase price has been paid in full.
§ 6 Warranty
(1) The statutory warranty rights apply.
(2) As a consumer, you are requested to promptly check the product upon delivery for completeness, visible defects, and transport damage, and to notify us and the shipping carrier of any complaints as soon as possible in writing. Even if you do not comply with this request, it shall have no effect on your statutory warranty claims.
(3) If a characteristic of the goods deviates from the objective requirements, the deviation shall only be deemed agreed if you were informed of the deviation by us before submitting your contractual declaration and the deviation was expressly and separately agreed between the parties.
§ 7 Choice of Law, Place of Performance, Jurisdiction
(1) German law shall apply. This choice of law applies to consumers only insofar as it does not result in the revocation of the protection guaranteed by the mandatory provisions of the law of the consumer’s habitual place of residence (principle of favorability).
(2) If you are not a consumer but a business customer, a legal entity under public law, or a special fund under public law, our place of business shall be the place of jurisdiction and the place of performance for all services arising from business relationships with us. The same applies if you do not have a general place of jurisdiction in Germany or the EU, or if your place of residence or habitual residence is not known at the time of commencement of proceedings. This does not affect the right to invoke the court at another statutory place of jurisdiction.
(3) The provisions of the UN Convention on Contracts for the International Sale of Goods (CISG) are explicitly excluded.

2. Information Regarding the Conclusion of the Contract
The technical steps associated with the conclusion of the contract, the contract itself, and the correction options are executed in accordance with § 2 of our Standard Business Terms (Part I).
3. Contractual Language, Saving the Text of the Contract
3.1. The contractual language is English.
3.2. The complete text of the contract is not stored by us. Before the order is submitted via the online shopping cart system, the contract data can be printed or electronically saved using the browser’s print function. After the order is received by us, the order data, the legally mandated details related to distance selling contracts, and the Standard Business Terms are sent to you again via email.
4. Main Features of the Product or Service
The main features of the goods and/or services can be found in the respective product listing.
5. Prices and Payment Arrangements
5.1. The prices stated in the respective offers represent total prices, as do the shipping costs. They include all price components, including all applicable taxes.
5.2. For orders with a value of €49.00 or more, no shipping costs apply. For orders below €49.00, a flat shipping fee of €4.90 (incl. VAT) applies.
5.3. If delivery is made to countries outside the European Union, additional costs may apply that are beyond our control, such as customs duties, taxes, or money transfer fees (bank transfer or foreign exchange fees). You must bear any such costs.
5.4. You must also bear the costs arising from money transfers in cases where delivery is made to an EU Member State but payment is initiated from outside the European Union.
5.5. The available payment methods are shown under the corresponding button on our website or disclosed in the respective offer.
5.6. Unless otherwise specified for the respective payment methods, payment claims arising from the concluded contract are due immediately.
6. Delivery Conditions
6.1. The delivery conditions, delivery date, and any existing delivery restrictions can be found under the corresponding button on our website or in the respective offer.
6.2. If you are a consumer, the following is regulated by law: The risk of accidental destruction or deterioration of the sold goods during shipping only passes to you when the goods are delivered to you, regardless of whether the shipment is insured or uninsured. This does not apply if you have independently commissioned a transport company not named by us or a person otherwise designated to carry out the shipment.
7. Statutory Warranty Rights
Liability for defects is governed by the “Warranty” provision in our Standard Business Terms (Part I, § 6).
